The distinction between evaluating needs, directing through prioritization and monitoring compliance (governing), and planning, building, running and monitoring the activities aligned to that direction (managing). Confusing them yields committees without evidence or technical teams without mandate.

Confusing them produces boards that review tasks and leadership that fails to prioritise. Governing is evaluating, directing and monitoring; managing is planning, building, running and supervising — and when one group does both, the check disappears.
